Turecka spółka Kervan Gida przejmuje ZPC Otmuchów

Warsaw Equity Management i Xarus Holdings podpisały z turecką spółką Kervan Gida przedwstępną umowę dotyczącą sprzedaży 100 proc. udziałów w kapitale zakładowym ZPC Otmuchów, do której przed finalizacją transakcji mają w formie aportu zostać wniesione wszystkie posiadane przez Warsaw Equity Management i Xarus akcje spółki ZPC Otmuchów, a także potencjalnie posiadane akcje przez podmioty powiązane osobowo z Warsaw Equity Management, jednak nie więcej niż 66 proc. akcji – czytamy w komunikacie ZPC Otmuchów.
Jak informuje spółka, cena sprzedaży akcji ZPC Otmuchów została ustalona w oparciu oparta o wartość 100 proc. kapitału zakładowego ZPC Otmuchów i wynosi 23,5 mln euro. Kwota ta będzie podlegać korekcie o zadłużenie netto i wartość kapitału obrotowego grupy na dzień zamknięcia transakcji. Umowa obejmuje również zobowiązanie do sprzedaży przez Xarus na rzecz spółki z Grupy Kervan wszystkich posiadanych przez Xarus akcji Przedsiębiorstwa Wyrobów Cukierniczych "Odra". Sprzedaż akcji Odry odbędzie się bez wnoszenia ich aportem do spółki celowej. Jak podano, cena nabycia 26,95 proc. akcji PWC Odra została ustalona na 3,8 mln euro.
